1. Acceptance of Terms

By accessing or using MMP Mail Merge Pro (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the terms and conditions, do not use the Service.

2. Description of Service

MMP Mail Merge Pro is a Google Sheets add‑on and web application that allows users to:

  • Send personalized email campaigns via Gmail.
  • Track opens, clicks, bounces, and unsubscribes.
  • Manage suppression lists and follow‑up campaigns.
  • Upgrade to premium subscription plans.

The Service is provided by BUSINESSPRIZM ("we", "us", "our").

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Service, you represent that you meet these requirements.

4. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate and complete information during registration.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use or security breach of your account.

5. Acceptable Use

You agree not to:

  • Send unsolicited bulk email (spam) or messages to recipients who have not explicitly consented to receive them.
  • Violate any applicable laws, including global anti‑spam regulations (e.g., CAN-SPAM, GDPR) and data protection laws.
  • Use the Service to send illegal, harmful, fraudulent, phishing, or misleading content.
  • Attempt to gain unauthorized access to the Service, its backend infrastructure, or related systems.
  • Reverse engineer, modify, or resell the Service without our express written permission.
  • Misuse tracking features to invade privacy or collect sensitive data without recipient consent.

You are solely responsible for ensuring that your email campaigns comply with all applicable laws and that you have obtained necessary consent from your recipients. We reserve the right to immediately suspend accounts found violating these rules without a refund.

6. Premium Subscriptions and Payment

6.1 Plans

MMP Mail Merge Pro offers free and premium subscription plans, which may include individual Professional plans and multi-user Team plans.

6.2 Billing

Premium subscriptions are billed in INR or USD depending on your selected plan and geographic region. Payments are processed securely by our trusted payment gateways (Razorpay and PayPal).

6.3 Refund Policy

We offer a 24‑hour refund window from the time of purchase only if the Service has not been used to send a campaign. To request a refund under these conditions, contact connect@mailmergepro.app. After 24 hours, or if a campaign has been initiated, all purchases are strictly non‑refundable unless required by applicable law.

6.4 Subscription Expiry

Premium subscriptions expire after the selected billing period (e.g., monthly, 6 months, or yearly) unless explicitly renewed.

7. Intellectual Property

All rights, title, and interest in the Service, including software, frontend code, branding, logos, and documentation, are exclusively owned by BUSINESSPRIZM or its licensors. You may not copy, modify, distribute, or create derivative works without our written permission.

8. Third‑Party Services

The Service integrates with third‑party platforms, primarily Google (Google Workspace, Gmail, Google Sheets), Razorpay, and PayPal. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for their actions, API downtimes, or service limitations.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUSINESSPRIZM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE, INCLUDING LOSS OF REVENUE OR SUSPENSION OF YOUR GMAIL ACCOUNT. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless BUSINESSPRIZM, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third‑party rights (including recipient privacy rights).

12. Termination

We may suspend or terminate your access to the Service at any time, without prior notice, if you violate these Terms (specifically Section 5 regarding Spam) or engage in fraudulent or harmful activity. Upon termination, your right to use the Service ceases immediately.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes arising out of or related to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Farrukhabad, Uttar Pradesh, India.

14. Changes to Terms

We may modify these Terms from time to time to reflect changes to our business or regulatory requirements. We will notify you of material changes by posting the updated Terms on this page and updating the Effective Date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
